Genus AI Payment Terms

1.1. Fees and Payment. Client shall pay Genus AI the Services fees set forth in each Order Form and/or published on the Genus AI website (the “Fees”).

1.1.1. Order Form Transactions. In the event that Client elects to enter into an Order Form, and unless otherwise stated in such an Order Form, Genus AI will invoice Client for the Fees in advance, on a quarterly or an annual basis. All undisputed amounts payable to Genus AI shall be due thirty (30) days from the date of invoice.

1.1.2. Payment Card Transactions. Client authorizes regularly scheduled charges to the payment card or other method of payment that Client provides on the Genus AI website. Charges will be processed on the schedule (quarterly or annual basis) selected when Client completes their order on the Genus AI website. Client certifies that it is authorized to use the relevant payment card account. Client understands that it will be charged each billing period for the total amount due for that period. A receipt will be emailed to Client and the charge will appear on the relevant payment card statement. Client acknowledges and agrees that no prior notification will be provided for each scheduled payment unless the date or amount of the transaction changes. You will be charged the price listed on the Genus AI website for the plan that you select, plus applicable taxes and fees, on each renewal until you select a different plan or cancel the Services. This authorization will remain in effect until Client terminates the Services as described in the Terms. Client will update their account with any changes in payment card information at least five (5) days prior to the next billing date. If the billing date falls on a weekend or holiday, Genus AI may execute the payment on the next business day.

1.1.3. Non-payment. Non-payment or late payment of undisputed fees is a material breach of these Terms. If any undisputed amount is past due more than thirty (30) days, Client shall pay interest on the overdue balance at the rate of 1% per month or the maximum permitted by law, whichever is less, plus all expenses of collection. Genus AI shall be entitled to withhold performance and discontinue service until all amounts due are paid in full. In the event that a payment card transaction is rejected for non-sufficient funds, Genus AI may at its discretion attempt to process the charge again within thirty (30) days which will be initiated as a separate transaction from the authorized recurring payment.

1.1.4. Cancellation Policy. If you cancel, previous charges will not be refunded, but you may continue to use the service until the end of the term you paid for.

1.2. Taxes. The Fees are exclusive of all applicable sales, use, value-added and other taxes, and all applicable duties, tariffs, assessments, export and import fees, or other similar charges, and Client will be responsible for payment of all such taxes (other than taxes based on Genus AI’s income), fees, duties, and charges and any related penalties and interest, arising from the payment of the Fees or the provision of the Services to Client. Client will make all payments of Fees to Genus AI free and clear of, and without reduction for, any withholding taxes; any such taxes imposed on payments of Fees to Genus AI will be Client’s sole responsibility, and Client will provide Genus AI with official receipts issued by the appropriate taxing authority, or such other evidence as the Genus AI may reasonably request, to establish that such taxes have been paid. Client shall indemnify and defend Genus AI in connection with any proceedings brought by any taxing authorities in connection with these Terms.
